  3.                    COLLECTION AGREEMENT 
  4.  
  5. _____________________________________, referred to as AGENCY and
  6. ________________________, referred to as CLIENT, agree: 
  7.  
  8. AGENCY represents that it is properly licensed, bonded, with a
  9. capable and trained (if required) staff of collectors, and can
  10. effect reasonable and lawful effects to collect accounts
  11. receivable of CLIENT. 
  12.  
  13. CLIENT shall provide to AGENCY, from time to time, accounts
  14. receivable to collect. CLIENT represents that any accounts which
  15. it turns over to AGENCY are legally due and owed. CLIENT shall
  16. provide upon request to AGENCY source documentation for any and
  17. all accounts due, and, verification of any balance due. 
  18.  
  19. AGENCY shall at all times conduct collection activity on behalf of
  20. CLIENT in compliance with all lawful regulations and laws and
  21. shall hold CLIENT harmless from any claims related to unlawful
  22. collection activity. A periodic report of the status of all
  23. collections shall be provided to CLIENT by AGENCY at least every
  24. _________________________.

  26. AGENCY shall receive a fee of __ percent from all sums collected
  27. on behalf of CLIENT. AGENCY may deduct from sums collected its
  28. fee; however, all sums which are due to the CLIENT shall be held
  29. in a separate trust account. In the event that a debtor returns
  30. merchandise, the value for the purposes of the agreement shall be
  31. the net sales price received for the same, or if the merchandise
  32. is accepted by CLIENT, ___ its wholesale value.

  34. CLIENT shall be entitled to, either itself or through designated
  35. agents, auditors and accountants, conduct audits of the books and
  36. records of AGENCY to verify accountings. 
  37.  
  38. CLIENT shall be entitled to withdraw accounts once assigned from
  39. AGENCY, however, if any collections are made as related to such
  40. accounts shall be reported to AGENCY, and the AGENCY fee paid. 
  41.  
  42. AGENCY shall be responsible for all expenses related to its
  43. collection efforts, other than court costs and attorneys' fees, if
  44. suit is authorized, and expenditure is approved for court costs
  45. and attorney's fees. Any suit fees or court costs shall be
  46. approved in writing prior to their expenditure.
